Paycrypt Terms of Service

Introduction: Paycrypt ("we", "us", "our") provides a global cryptocurrency payment gateway headquartered in India. These Terms of Service ("Terms") govern your access to and use of Paycrypt's platform and related services. By registering for or using Paycrypt (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. Paycrypt operates worldwide, but use of the Service must comply with applicable local laws; users accessing Paycrypt from other jurisdictions do so at their own initiative and are responsible for compliance with their local laws. All legal matters under these Terms are governed by Indian law, as set forth below.

Eligibility

To use Paycrypt, you must meet our eligibility criteria. You must be at least 18 years old (or older if required by your local jurisdiction) and have the legal capacity to enter into contracts. If you use Paycrypt on behalf of a company or other legal entity, you represent that you have authority to bind that entity. Paycrypt reserves the right to refuse service, cancel orders, or terminate accounts that do not meet these eligibility requirements or that we otherwise deem unsuitable.

Services Provided

Paycrypt enables businesses to accept cryptocurrency payments via online integration. Merchants can integrate Paycrypt into their websites or platforms by using our payment widget, or by generating and sharing cryptocurrency payment invoices. In practice, a cryptocurrency payment gateway is a business-to-business service that helps one business accept cryptocurrency as payment. Our Service currently supports payments and payouts in cryptocurrencies only; fiat currency payouts are not available at this time (but may be added in a future phase). When you receive funds through Paycrypt, settlement is made in the cryptocurrency you select. You acknowledge and agree that Paycrypt is not a bank, exchange, or wallet provider – we only facilitate transfers of cryptocurrency between parties.

  • Payment Widgets and APIs: Merchants may embed our payment widget or integrate via our API to accept crypto payments directly on their site or app.
  • Invoice Generation: Merchants may create and send crypto-denominated invoices through Paycrypt.
  • Crypto Payouts: Merchant settlements are paid out in cryptocurrency. You cannot receive settlement in local fiat currency at this time.

By using our Services, you agree to comply with all technical requirements (e.g. browser or software versions) and to maintain any necessary third-party accounts (e.g. cryptocurrency wallets) needed to send or receive payments.

Account Registration

To use Paycrypt's merchant features (such as creating payment links or dashboards), you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Paycrypt immediately if you suspect any unauthorized use of your account. We may suspend or terminate accounts that contain false, incomplete, or misleading information, or that we reasonably suspect are being used in violation of these Terms. Paycrypt is not responsible for losses resulting from unauthorized access to your account or any actions taken by anyone using your account with or without your permission.

KYC Policy

Paycrypt may request Know Your Customer (KYC) information (such as identification documents) to comply with applicable laws and regulations (including anti-money laundering and counter-terrorism financing laws). We will comply with all applicable laws, rules, and regulations, and we may verify user identities or transaction information as required. However, KYC is not required for basic use of the Service and non-KYC users may continue using Paycrypt without limitation. If we request additional verification for compliance or security reasons and you choose not to provide it, we may limit or suspend certain features of your account. In all cases, you must provide true, accurate, and up-to-date information when requested.

Fees and Payments

Paycrypt may charge transaction fees for processing payments; any such fees will be disclosed on our site or invoice. We reserve the right to change fees at any time without prior notice. Your continued use of the Service after a fee change will constitute your acceptance of the new fees.

  • Settlement Currency: All merchant payouts are made in cryptocurrency. You cannot receive settlement in fiat currency at this time. You bear the risk of any exchange rate fluctuations or volatility in the chosen cryptocurrency. For example, if you choose to settle in Bitcoin, you assume the volatility risk of Bitcoin's value.
  • Payment Processing: Once a customer completes a payment, Paycrypt will verify the transaction and credit your account accordingly. The timing of settlement may vary depending on network confirmations.
  • Fees: Any fees (e.g. percentage fees, flat fees) applicable to transactions or settlements will be clearly communicated. Paycrypt may update its fee schedule from time to time; changes will become effective upon posting, and your continued use of the Service will mean you accept the updated fees.

You agree to pay all fees due and any applicable taxes in connection with your use of the Service. Paycrypt is not responsible for any banking or exchange fees charged by your own financial institutions or blockchain networks.

Prohibited Uses

You may use Paycrypt only for lawful purposes. The following activities (among others) are strictly prohibited:

  • Illegal or Unauthorized Use: Using your account or the Service for any illegal purpose or in violation of any law or regulation, including money laundering, terrorist financing, fraud, bribery, or any other financial crime.
  • Unauthorized Access: Attempting to access, probe, or interfere with the Service, Paycrypt's systems, or other users' accounts without authorization (e.g. hacking, malicious software, impersonation).
  • Prohibited Content: Transmitting or uploading any content that infringes the rights (intellectual property, privacy, etc.) of others, or that is obscene, defamatory, or otherwise unlawful.
  • Spam and Malicious Content: Sending unsolicited bulk messages (spam) or harmful code through Paycrypt's Services.
  • Circumvention: Attempting to avoid or circumvent Paycrypt's fees or policies (for example, by processing transactions off-platform and not reporting them to Paycrypt).
  • Multiple Accounts / Sharing: Creating multiple accounts or sharing login credentials without Paycrypt's consent.

Paycrypt may investigate and take appropriate legal action against anyone who violates the above rules. We reserve the right to suspend or terminate accounts used in prohibited ways.

Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. Please refer to our Privacy Policy for details on how we collect, use, and share your personal information. By using Paycrypt, you consent to our collection, processing, and transfer of your personal data as described therein. We implement reasonable security measures (such as encryption and access controls) to protect your information. However, no security system is impenetrable. We cannot guarantee that unauthorized persons will never gain access to your information, and you acknowledge that you provide personal data at your own risk. Paycrypt may share necessary information with third-party service providers (e.g. payment processors, fraud prevention services) and with law enforcement or regulatory authorities when required by law. For example, if we receive a legal request or subpoena, we will cooperate by providing the information in our possession.

Intellectual Property

All intellectual property rights in Paycrypt's Services, including software, website content, logos, and trademarks, are owned by Paycrypt or its licensors. We grant you a limited, non-exclusive, non-transferable license to use Paycrypt's content only as necessary to use the Service. You may not copy, modify, distribute, or create derivative works from Paycrypt's content or marks, except as expressly permitted in these Terms. All rights not expressly granted are reserved.

Disclaimers

No Warranties: The Service is provided "as is" and "as available". Paycrypt makes no warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Paycrypt does not guarantee the outcome of any transaction or the value of any cryptocurrency.

Use at Your Risk: You acknowledge that you use Paycrypt at your own risk. Paycrypt is not responsible for any errors in transaction processing (e.g. incorrect amounts or delays) or for losses resulting from blockchain network failures, third-party services, or user errors (such as sending cryptocurrency to an incorrect address).

Third-Party Services: Paycrypt may provide links or integrations with third-party services (wallets, exchanges, analytics, etc.), but we do not endorse or guarantee those services. Any dealings with third parties are solely between you and the third party.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Paycrypt and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential or punitive damages (including lost profits, lost business, or lost data) arising out of or relating to these Terms or the Service. In no event shall Paycrypt's total liability for any claim exceed the total fees actually paid by you to Paycrypt in the six (6) months preceding the claim. You acknowledge that the limitations of liability set forth above are a fundamental basis of the bargain between you and Paycrypt. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages; in such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Paycrypt, its affiliates, and their respective officers, directors, employees and agents (collectively, the "Paycrypt Parties") from any claims, damages, losses, liabilities, costs or expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) your violation of these Terms or any law or regulation; (c) your infringement of any third party's rights (including intellectual property rights); or (d) any misrepresentation you make in connection with the Service. This indemnification obligation will survive termination of your account and these Terms.

Termination

Paycrypt may terminate or suspend your account and access to the Service at any time, with notice (where practicable) or immediately if we believe you have violated these Terms or engaged in fraudulent or illegal activity. We may also suspend your account for prolonged inactivity. We will not be liable for any losses you incur as a result of such suspension or termination. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive (such as Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Contact Information) will continue in effect even after termination. You may terminate your Paycrypt account at any time by contacting us or by discontinuing use of the Service.

Changes to Terms

Paycrypt reserves the right to modify or update these Terms at any time. We will post the revised Terms on our website and update the "Last Updated" date. Any changes will be effective immediately when posted. It is your responsibility to review the Terms periodically. Your continued use of Paycrypt after changes are posted constitutes your acceptance of the revised Terms.

Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of India (for example, courts in Bengaluru, India). No arbitration will be used; the parties irrevocably consent to litigation only in Indian courts.
